IDX reaches decision to settle acquisition suits

IDX Systems Corp. has reached an agreement to settle two shareholder lawsuits filed after the announcement that GE Healthcare would acquire the Burlington, Vt.-based vendor. Under the agreement, subject to court approval, IDX agreed to make additional disclosures beyond what was provided in its Nov. 14 proxy statement to shareholders. The disclosures were submitted to the Securities and Exchange Commission on Dec. 8. IDX primarily seeks to assure its shareholders that GE Healthcare offered the best deal when it bid $1.2 billion for the company.
