Eclipsys has signed a definitive agreement to acquire all of the outstanding equity interests of Premise, a privately held provider of patient flow software solutions.

The agreement was reached by the Atlanta-based Eclipsys and certain stockholders of Premise on Dec. 30, 2008, and provides for a purchase price of $38.5 million cash, subject to certain holdback escrow provisions and working capital adjustments.

The transaction, which has been approved by the boards of directors of Eclipsys and Premise, is expected to close within next 15 days, subject to satisfaction of customary closing conditions, according to Eclipsys.

The Farmington, Conn.-based Premise provides integrated and clinical software solutions and services that optimize patient flow and streamline communications, including systems for bed management, bed turnover, transport and decision support.
